§ 1 Scope

The following General Terms and Conditions (T&Cs) apply to all contracts between WebWings Digital Solutions UG (haftungsbeschränkt) i.G., Kaiser-Friedrich-Ring 92, 65185 Wiesbaden (hereinafter the "Contractor") and the customer (hereinafter the "Client"), concluded via the website webwings-digital.de or by other means.

Deviating, conflicting or supplementary terms and conditions of the Client shall only become part of the contract if and to the extent that the Contractor has expressly agreed to their validity in writing.

§ 2 Conclusion of contract

The presentation of services on the website does not constitute a legally binding offer, but an invitation to submit an offer (invitatio ad offerendum).

By submitting an order or enquiry, the Client makes a binding offer to conclude a contract. The Contractor may accept this offer within 14 days.

§ 3 Scope of services

The scope of services results from the respective contract between Contractor and Client as well as from the service description on the website at the time the contract is concluded.

Changes and extensions to the agreed services require the written form and are invoiced separately.

Lighthouse guarantee

For all website projects we guarantee a Lighthouse score of at least 90 in all four categories (Performance, Accessibility, Best Practices, SEO), measured on the live version on our staging server at the time of go-live. If this is not achieved, we optimise further free of charge.

6-month visibility guarantee (Premium)

For Premium website projects we guarantee measurable growth in local visibility within 6 months of go-live. The metrics are: impressions in Google Search Console, clicks and rankings for defined keywords. If this is not achieved, we continue to optimise free of charge.

Excluded are: specific ranking positions for competitive keywords, top-1 guarantees, traffic-volume promises.

§ 4 Prices and payment terms

All prices are net amounts in euros, plus statutory VAT (19%).

One-off costs

The setup costs for websites, chatbots and voice agents are paid as follows:

• 50% down payment on placing the order
• 50% balance on go-live

Monthly retainers

Monthly package prices are due on the first working day of the month by direct debit or bank transfer. The monthly flat rates can be cancelled monthly at the end of the month with no minimum term. Cancellation is made in writing or by email to hallo@webwings-digital.de.

Default

In the event of late payment, the Contractor is entitled to charge default interest of 9 percentage points above the base rate.

§ 5 Client's duties to cooperate

The Client undertakes to provide all content necessary for the provision of services (text, images, logos, approvals) in a timely manner.

Delays caused by late delivery or missing approvals shall not be to the detriment of the Contractor. Agreed delivery dates shall be postponed accordingly.

§ 6 Rights of use

Upon full payment, the Contractor grants the Client a simple, temporally and spatially unlimited right to use the works created.

The Contractor remains the author and retains the right to name the works as a reference on its own website and in portfolios (unless expressly excluded in writing).

§ 7 Liability

The Contractor is liable for intent and gross negligence. In the case of slight negligence, it is liable only for the breach of essential contractual obligations and limited to the foreseeable damage typical of the contract.

Liability is limited to the amount of the order value, insofar as legally permissible.

§ 8 Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of performance and jurisdiction for all disputes arising from or in connection with these T&Cs is Wiesbaden, insofar as the Client is a merchant, a legal entity under public law or a special fund under public law.

Should any provision of these T&Cs be invalid, the remaining provisions shall remain unaffected.
